Yesterday, SaaS pioneer Zuora agreed to go private in a $1.7 billion deal led by GIC and Silverlake, marking a major shift for the subscription management giant. Under the leadership of CEO Tien Tzuo, an early Salesforce leader, Zuora has grown to a $400 million ARR business, but it has faced challenges in maintaining rapid growth.

At a valuation of 4.25x ARR, the acquisition reflects confidence in Zuora’s potential, especially in a SaaS landscape where growth is more critical than profitability. Silverlake’s strategy suggests a belief that with additional investment, Zuora can reignite growth, ultimately reaching a valuation of $5 billion or more when it returns to public markets.

What We Think

Zuora’s acquisition highlights a growing trend: private equity firms are betting on mature SaaS businesses with strong fundamentals, like high NRR and established customer bases, to deliver long-term returns. While new customer growth may have slowed, Zuora’s ability to keep key customers and generate cash flow makes it a strong candidate for future expansion. This move reflects ongoing confidence in the SaaS model, signaling that the next growth phase may come from companies already proving their staying power. Expect more investments in established SaaS players as firms like Silverlake look to unlock greater value in the years ahead.
